The role requires a Legal Counsel for their Corporate office based in Saudi Arabia

  • Provide legal guidance to the business in a timely, proactive, and commercially relevant manner, addressing contractual, statutory, and regulatory matters.
  • Collaborate closely with clients in business units to understand objectives, business drivers, and anticipate current and future legal needs.
  • Engage with all entities within the group Legal division to ensure the quality of expertise across various legal areas related to project development, design, construction, operation, and financing.
  • Contribute to the development of intricate contractual arrangements (investment, BOT, BOO, Islamic financing) covering the entire scope of the group’s businesses.
  • Offer guidance to company in the preparation and submission of tenders for projects, actively participating in contract negotiations, and overseeing the entire process.
  • Serve as the corporate secretary for all Middle East companies, overseeing routine and extraordinary operations, including Annual accounts, amendments to the MOA, and changes of Directors.
  • Collaborate with Company’s M&A legal team on asset acquisitions and disposals, M&A projects, joint-venture agreements, and other development arrangements, providing advice on effective structuring.
  • Develop and deliver tailored training courses aligned with business needs and team requirements.
  • Effectively handle disputes in the area, drafting legal arguments, and preparing settlement offers.
  • Coordinate compliance checks activities and advocate for the group’s business ethics and social responsibility goals.
  • Maintain communication with the Legal Team in matters requiring their involvement, such as M&A, major contracts, and new projects.

 

Requirements

  • Possess in-depth knowledge of Saudi labor law.
  • Demonstrate extensive experience in corporate law.
  • Exhibit familiarity with the Ministry of Foreign Affairs (MOFA) procedures.
  • Proficiently review Non-Disclosure Agreements (NDAs).
  • Licensed solicitor or equivalent qualification
  • 8-10 years of post-qualification experience
  • Demonstrated experience in providing a proactive, business-focused service aimed at problem prevention.
  • Exposure to an international, multicultural environment
  • Appreciation for local legal knowledge
  • Proficiency in Arabic and English languages
